Sustainability Governance

With the aim of further improving the sustainability of our business operations, our company reputation and cooperation with our stakeholders (clients, associates, communities and shareholders), Prysmian has appointed MARIA CRISTINA BIFULCO as Chief Investor Relations, Sustainability and Communications Officer in order to solidify and drive our ESG strategy and action in the short-, mid- and long-term. The Chief Sustainability Officer will play a key role in achieving Prysmian ESG goals including creating and executing ESG Strategy and Targets, Stakeholder Engagement, Projects and Practice Sharing, as well as ESG Planning and Performance Management.

The Chief Sustainability officer works with the board-level Sustainability Committee, which assists the Board by advising on the key initiatives to tackle climate change, such as the adoption of our Climate Ambition to achieve science-based C02 reduction targets. In addition, the Sustainability Steering Committee has been created that consists of the top echelons of the organisation and is chaired by the Chief Sustainability Officer (CSO). The Steering Committee works together with the Audit Committee to supervise the monitoring of physical and transitional risks linked to climate change matters, as well as the implementation of projects and initiatives designed to manage them.

The Sustainability Steering Committee also meets periodically to discuss strategic sustainability priorities, the progress of the action plan and its implementation. The strategic lines of sustainability are defined and promoted at the corporate level, and then integrated into local policies and all daily activities.

Sustainability Committee

The Sustainability Committee has been established by the Board of Directors with the following responsibilities:

  • promoting guidelines for consideration by the Board that integrate sustainability within the various business processes, in order to ensure the creation of sustainable value over time for shareholders and all other stakeholders
  • spreading the culture of sustainability among employees, shareholders, customers and, in general, stakeholders
  • assessing the environmental, economic and social impacts deriving from business activities
  • providing opinions on the annual and long-term sustainability objectives to be achieved with specific reference to the management of associated medium and long-term risks for the Company and its subsidiaries, so that they are correctly identified and appropriately measured, managed and monitored
  • monitoring the Company’s position in the main sustainability indices
  • expressing opinions on the initiatives and programmes promoted by the Company or by subsidiaries on Corporate Social Responsibility (CSR) matters
  • examining the annual sustainability report, containing non-financial information pursuant to European Directive 2014/95/EU, before its presentation to the Board
  • preparing, upon request from the Board, opinions and proposals concerning specific CSR matters

Group Leadership Team

The Group Leadership Team, has the responsibility and the commitment to:

  • Promote the culture of sustainability across all business operations;
  • Identify and evaluate projects or programs to enhance the sustainability agenda;
  • Review sustainability program objectives, progress, or status to ensure compliance with policies and to develop the company awareness and results on sustainability;
  • Oversee all the ongoing initiatives impacting business, environmental or social sustainability;
  • Ensure the effective communication of our sustainability commitment, results and improvement actions;
  • Support and endorse diversity and inclusion initiatives, internally and externally.

Moreover, the Regional and Country Leadership Teams and the Business Units Management Teams will be accountable for the proper deployment of the Group’s sustainability and diversity initiatives at their operation.

Sustainability (ESG) Steering Committee

The Sustainability (ESG) Steering Committee has the operative responsibility to work out the following:

  • promoting a CULTURE OF SUSTAINABILITY within all BUSINESS ACTIVITIES;
  • defining and/or evaluating the implementation of projects or programs aimed at IMPROVING THE SUSTAINABILITY AGENDA;
  • monitoring the OBJECTIVES OF THE GROUP SUSTAINABILITY POLICY, progress with respect to the “SUSTAINABILITY SCORECARD” and the progress of the actions to ensure compliance with the Group’s policies, and developing an ever growing internal RESPONSIBILITY TOWARDS RESULTS IN AREAS OF SUSTAINABILITY;
  • supervising all ongoing initiatives that have an impact, current and potential, on the PERFORMANCE OF ECONOMIC, SOCIAL and ENVIRONMENTAL SUSTAINABILITY;
  • ensuring the EFFECTIVE COMMUNICATION of our commitment and results achieved in the FIELD OF SUSTAINABILITY;
  • supporting initiatives to PROTECT DIVERSITY and inclusion both internally and externally.

Diversity & Inclusion int. Steering Co.

The Diversity & Inclusion Steering Committee with the following responsibilities:

  • Promote Diversity & Inclusion policies and actions within the Group through benchmarking, best practice sharing and specific communication campaigns;
  • Define D&I objectives at each organizational level and support the definition of the actions to achieve them;
  • Support Human Resources and Organization team in designing of specific training and development initiatives to support diversity within the Group;
  • Monitor and discuss the progress to improve gender diversity within the Group;
  • Promote a cultural change to facilitate Diversity & Inclusion within the work environment, enhancing it across the Group.

Local Sustainability Ambassadors

Local Sustainability Ambassadors are responsible to facilitate ESG local initiatives and promote the Sustainability Culture.

To further strengthen the Sustainability focus Massimo Battaini as Group COO will act as the main sponsor of the overall ESG commitment and strategy.

In order to make our action with our stakeholders more effective, Maria Cristina Bifulco – Chief Investor Relations, Sustainability and Communications Officer - will be responsible for the preparation and consolidation of the Annual Sustainability Report containing Non-Financial Information pursuant to the European Directive 2014/95/EU. He will leverage upon the collaboration of all the different functions.

The Corporate and Business Communications department is responsible for coordinating all activities related to the Group’s sustainability reporting, both in terms of process and of content, mapping the stakeholders and monitoring their expectations through stakeholder engagement activities, as well as guaranteeing transparent and constant communication both with the external and the internal stakeholders.
